Changes to our site

We may update our site from time to time and may change the content at any time. However, please note that any of the content on our site may be out of date at any given time, and we are under no obligation to update it.

Accessing our site

Our site is made available free of charge, although access to some of the content on our site and some of its features are chargeable. We may make a charge for certain other features in future.

We do not guarantee that our site, or any content on it, will always be available or be uninterrupted. Access to our site is permitted on a temporary basis. We may suspend, withdraw, discontinue or change all or any part of our site without notice. We will not be liable to you if for any reason our site is unavailable at any time or for any period.

Registration to IPE Quest

In order to use the IPE Quest services at our site, you must be an Institutional Investor and/or an Asset Manager (or as someone authorised to act on behalf of an Institutional Investor and/or Asset Manager) and you must register to use the IPE Quest services, either through the site or by email. You must also agree to our Terms of Use For Institutional Investors and Asset Managers.

We will only accept applications for registration for the IPE Quest services at our site from Institutional Investors (or persons acting on behalf of Institutional Investors), or from Asset Managers (or persons acting on behalf of Asset Managers) who are lawfully entitled, in every relevant jurisdiction, to offer to manage, and to actually manage, the assets that they are offering to manage for and/or on behalf of the Institutional Investors who properly register on our site or by email.

We reserve the right at our discretion to reject any application for registration.

Financial Promotions

Any Financial Promotions available through our site are directed only at Institutional Investors and other Potentially Exempt Persons and the controlled activities and controlled investments to which they relate are only available to such persons.

Any Financial Promotions available through our site, which has not been approved by an authorised person (as defined in section 31 of the Financial Services and Markets Act 2000 (FSMA)) under section 21 of FSMA, must not be acted upon unless they are a Potentially Exempt Person and there are in place proper systems and procedures to prevent anyone else from engaging in the investment activities to which the Financial Promotions on our site relate, with the person directing the communication, a close relative of his, or a member of the same group.

Persons who do not have professional experience in matters relating to investments should not rely on the Financial Promotions available through our site.

Use of IDs and passwords

We have the right to disable any user ID or password, whether chosen by you or allocated by us, at any time, if in our reasonable opinion, you have failed to comply with any of the provisions of these terms of use or the Additional Terms within the relevant registration processes above, or for any other reason we consider appropriate.

If you know or suspect that anyone other than you (or someone else authorised by your company or other organisation) knows your user ID or password, you must promptly notify us at info@ipe-quest.com

You shall indemnify us against any unauthorised use of your user ID or password, including use by a third party where you have allowed or facilitated that third party to have access to the part of our site that requires registration, however so received.

Intellectual property rights

We are the owner or the licensee of all copyright and other intellectual property rights in our site, and in the material published on it (other than any information and content you provide through the site, the rights in which are covered by our Terms of Use For Institutional Investors and Asset Managers). Those works are protected by copyright laws and treaties around the world. All such rights are reserved.

You may print off one copy, and may download extracts, of any page(s) from the publicly available portions of our site for your personal use; and you may draw the attention of others within your organisation to content posted on the publicly available portions of our site so that they can access and read it directly for themselves (but subject to these terms of use). However: (a) you must not make the whole or any part of any page(s) that are on, or form part of, our site available to any other person in any way; and (b) you must not download, store, transmit, display, copy or distribute the whole or any part of any of those page(s), in a structured manner or by creating a database in any form comprising all or part of the material on those pages(s), whether they are part of our site or not.

While we take industry standard precautions to safeguard your information (for which see our Privacy Policy) we will not be liable for any loss of data or unauthorised access to data or for any other loss to the extent this is due to events beyond our reasonable control, or to the breach by any person of these terms of use (see especially the section below on Viruses, malware and other technologically harmful material).

We assume no responsibility for the content of websites linked on our site. Such links should not be interpreted as endorsement by us of those linked websites. We will not be liable for any loss or damage that may arise from your use of them.

Uploading content to our site

Whenever you make use of a feature of our site that allows you to upload content to our site, send content to our site by email, or to make contact with other users of our site, you must comply with the content standards set out in our Acceptable Use Policy. You must also ensure that you are authorised to do so by your company or other organisation.

These terms of use, their subject matter and the formation of any contract pursuant to them (and any non-contractual disputes or claims) are governed by English law. We and you both agree to the exclusive jurisdiction of the courts of England and Wales.

IPE, Investment & Pensions Europe and the IPE logos are registered trademarks and service marks. IPE International Publishers Ltd. may also claim trademark and service mark rights in other marks contained in the pages of our site.

Definitions

For the purposes of these terms of use:

'Asset Manager' means a company or other organisation that manages investment assets on behalf of other organisations.

'Financial Promotion' means any invitation or inducement to engage in investment activity, as that phrase is used in and defined by section 21 of the Financial Services and Markets Act 2000.

'Financial Promotions Order' means the FSMA (Financial Promotions) Order 2005 (SI 2005/1529).

'Institutional Investor': [a person meeting the definition of a Potentially Exempt Person] who wishes to engage an Asset Manager to manage investment assets, whether on behalf of another person or on its own behalf, including but not limited to: pension funds; insurance funds; multi-managers; corporate treasury departments; sovereign wealth funds; [multi-]family offices; fund managers; fiduciary managers; or consultants acting on behalf of the foregoing examples.]

'Potentially Exempt Person': any of the following:

  1. a person located outside the United Kingdom for the purposes of article 12 (Communications to overseas recipients) of the Financial Promotions Order;

  2. person meeting the definition of an investment professional in article 19(5) (Investment Professionals) in the Financial Promotions Order;

  3. person to whom paragraph 49(2) (High Net Worth Companies, unincorporated associations) of the Financial Promotions Order applies.
